User Agreement

This User Agreement (“Agreement”) is a legally binding contract between you (“User”, “you”, or “your”) and BoffinGeeks, an entity incorporated under the laws of India (“PickUrJob”, “we”, “us”, or “our”), governing your access to and use of the PickUrJob website located at https://www.pickurjob.com (the “Platform”) and related services.

By accessing or using the Platform, creating an account, or entering into a service arrangement through PickUrJob, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree, you must not use the Platform.

1. About PickUrJob (Platform Role)

PickUrJob is an online marketplace platform that enables clients (“Clients”) and independent service providers (“Freelancers”) to find each other and enter into service contracts directly.

IMPORTANT:
PickUrJob:

  • Is not a party to any agreement between Clients and Freelancers
  • Is not an employer, employee, agent, or partner of any User
  • Does not supervise, direct, or control the work performed
  • Does not guarantee the quality, safety, or legality of services

All service contracts are entered into solely between Clients and Freelancers.

2. Eligibility & Account Registration

To use the Platform, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into contracts
  • Provide accurate, current, and complete information

You are responsible for:

  • Maintaining account security
  • All activities conducted through your account
  • Keeping your login credentials confidential

PickUrJob may suspend or terminate accounts that provide false information or violate this Agreement.

3. Service Contracts Between Users

When a Client and Freelancer agree to work together, they enter into a separate service contract (“Service Contract”).

Unless otherwise agreed by the Users:

  • Freelancers act as independent contractors
  • No employment, partnership, or agency relationship is created
  • Users determine scope, pricing, timelines, and deliverables

PickUrJob may provide default contract frameworks for convenience, but Users remain free to agree to different terms between themselves.

4. Payments, Fees & Escrow-Like Mechanism
4.1 Third-Party Payment Processing

All payments on PickUrJob are processed through third-party payment service providers. PickUrJob does not hold banking licenses and does not provide banking or escrow services.

4.2 Fixed-Price Funding

For fixed-price contracts:

  • Clients may be required to fund the agreed amount upfront
  • Funds are held by third-party payment providers
  • PickUrJob facilitates release based on User actions and platform rules
4.3 Auto-Release

If no dispute is raised, funds may be automatically released to the Freelancer after 7 working days from submission or completion, as applicable.

4.4 Platform Fees

PickUrJob may charge:

  • A Freelancer service fee (currently 10%)
  • Client fees (if applicable, disclosed separately)

Fees are non-refundable, except where required by law.

5. Disputes & Platform-Led Mediation

If a dispute arises between Users:

  • Users should first attempt to resolve it directly
  • PickUrJob may offer platform-led mediation on a best-effort basis

Important:

  • PickUrJob does not guarantee resolution
  • Mediation is non-binding
  • Final responsibility remains with the Users

PickUrJob may take reasonable actions such as pausing payments during dispute review.

6. Intellectual Property

Unless otherwise agreed in writing:

  • Upon full payment, the Client receives ownership of the agreed work product
  • Freelancers warrant that work delivered does not infringe third-party rights
  • Pre-existing tools, frameworks, or background materials remain with their original owner
7. User Conduct

Users agree not to:

  • Misrepresent identity or qualifications
  • Circumvent the Platform to avoid fees
  • Post illegal, fraudulent, or misleading content
  • Harass, discriminate, or abuse other Users
  • Infringe intellectual property rights

Violation may result in suspension or termination.

8. Non-Discrimination & Accessibility

PickUrJob is committed to providing equal access and does not tolerate unlawful discrimination or harassment.

While PickUrJob strives to maintain an accessible platform, some features or services may rely on third-party technologies outside our direct control.

9. Privacy & Data Protection

Your use of the Platform is subject to our Privacy Policy, which explains how personal data is collected, used, and shared.

By using PickUrJob, you consent to data processing in accordance with applicable laws, including cross-border data transfers where required.

10. Suspension & Termination

PickUrJob may suspend or terminate access:

  • For violation of this Agreement
  • For suspected fraud or abuse

Users may close their accounts at any time, subject to unresolved obligations.

11. Disclaimer of Warranties

PickUrJob makes no warranties regarding:

  • Service outcomes
  • User conduct
  • Availability or accuracy of content
  • Reliability of third-party payment providers
12. Limitation of Liability

To the maximum extent permitted by law:

  • PickUrJob shall not be liable for indirect, incidental, or consequential damages
  • Total liability, if any, shall not exceed the fees paid to PickUrJob in the preceding 12 months
13. Indemnification

You agree to indemnify and hold harmless PickUrJob, its directors, officers, and affiliates from claims arising out of:

  • Your use of the Platform
  • Your violation of this Agreement
  • Your Service Contracts with other Users
14. Governing Law & Jurisdiction

This Agreement is governed by the laws of India, without regard to conflict of law principles.

Courts located in India shall have exclusive jurisdiction, unless otherwise required by applicable law.

15. Changes to This Agreement

PickUrJob may update this Agreement from time to time. Continued use of the Platform after updates constitutes acceptance.

1. Purpose of the Platform

To maintain trust, safety, and fairness, all Users must comply with these Terms.

2. Acceptable Use

You agree to use the Platform:

  • Only for lawful purposes
  • In good faith
  • In compliance with applicable laws and regulations

You are responsible for all activity conducted through your account.

3. Prohibited Activities

You must not engage in any of the following:

3.1 Fraud & Misrepresentation
  • Creating fake profiles or job postings
  • Providing false identity, qualifications, or payment information
  • Impersonating another person or entity
3.2 Circumvention
  • Bypassing or attempting to bypass the Platform to avoid fees
  • Sharing contact details to move work or payments off the Platform
  • Completing work introduced via PickUrJob outside the Platform without authorization
3.3 Abuse & Harm
  • Harassment, hate speech, threats, or intimidation
  • Discrimination based on protected characteristics
  • Posting obscene, violent, or unlawful content
3.4 Intellectual Property Violations
  • Uploading content you do not have the right to use
  • Requesting or delivering infringing work
  • Misusing trademarks, copyrights, or confidential information
3.5 Platform Misuse
  • Attempting to interfere with Platform operations
  • Introducing malware or malicious code
  • Scraping, copying, or reverse-engineering Platform systems
  • Using automated tools without authorization
4. Job Postings & Proposals

Clients agree to:

  • Post accurate and lawful job descriptions
  • Not solicit illegal or unethical services
  • Review proposals fairly

Freelancers agree to:

  • Submit truthful proposals
  • Not spam Clients
  • Accept work only when qualified to perform it
5. Communications
  • Platform messaging tools must be used responsibly
  • Sharing personal contact information may be restricted
  • PickUrJob may monitor communications for safety, fraud prevention, or compliance purposes, in accordance with applicable laws
6. Enforcement & Platform Actions

PickUrJob may take action if it reasonably believes a User has violated these Terms, including:

  • Warning or notice
  • Content removal
  • Temporary suspension
  • Permanent account termination
  • Limiting access to Platform features
  • Withholding or pausing payments where permitted

PickUrJob is not required to provide advance notice in cases involving fraud, abuse, or legal risk.

7. No Obligation to Monitor

PickUrJob does not actively monitor all content or activity but reserves the right to review, investigate, or remove content or accounts at its discretion.

8. Third-Party Services

The Platform may integrate or rely on third-party services.

PickUrJob is not responsible for:

  • Third-party availability
  • Third-party actions or failures
  • External websites or tools
9. User Content

You retain ownership of content you post, but you grant PickUrJob a limited, non-exclusive license to:

  • Display content on the Platform
  • Operate and improve Platform services
  • Enforce these Terms
10. Account Suspension & Termination

Users may close their accounts at any time.

PickUrJob may suspend or terminate accounts:

  • For violation of these Terms or the User Agreement

Termination does not remove obligations incurred before termination.

11. Disclaimer

PickUrJob does not guarantee:

  • Job availability
  • Freelancer selection

Payments & Escrow Policy

This Payments & Escrow Policy (“Policy”) explains how payments, fees, fund holding, releases, and disputes are handled on PickUrJob, operated by BoffinGeeks (“PickUrJob”, “we”, “us”, or “our”).

This Policy forms part of, and should be read together with, the PickUrJob User Agreement.

1. Platform Role in Payments

PickUrJob is a technology platform that facilitates payments between Clients and Freelancers.

PickUrJob:

  • Is not a bank
  • Is not a licensed escrow agent
  • Does not provide financial, fiduciary, or trust services
  • Does not take ownership of User funds

All payments are processed and held by third-party payment service providers in accordance with their own terms and applicable laws.

2. Payment Methods

Users may pay for services using payment methods made available on the Platform through third-party payment service providers.

Availability of payment methods may vary by:

  • Country
  • Currency
  • User verification requirements
  • Regulatory restrictions

PickUrJob does not guarantee availability of any specific payment method at all times.

3. Fixed-Price Contracts & Upfront Funding

For fixed-price Service Contracts:

  • Clients are required to fund the agreed amount upfront before work begins
  • Funds are held by third-party payment service providers
  • PickUrJob facilitates release of funds based on Platform rules and User actions

Funding a fixed-price contract constitutes the Client’s authorization to release funds in accordance with this Policy.

4. Submission, Approval & Auto-Release
4.1 Submission

When a Freelancer submits completed work:

  • The Client is notified through the Platform
  • The review period begins
4.2 Client Actions

Within the review period, the Client may:

  • Approve the work (funds released)
  • Request revisions
  • Raise a dispute
4.3 Auto-Release

If the Client takes no action and no dispute is raised, funds may be automatically released to the Freelancer after 7 working days.

Auto-release is intended to ensure timely payment and reduce payment delays.

5. Disputes & Payment Holds

If a dispute is raised before fund release:

  • PickUrJob may temporarily pause fund release
  • Users are encouraged to resolve disputes directly
  • PickUrJob may provide platform-led mediation on a best-effort basis

Important:

  • Mediation is non-binding
  • PickUrJob does not make legal judgments
  • PickUrJob does not guarantee dispute outcomes

Funds will be released or refunded based on:

  • Mutual User agreement, or
  • Completion of the dispute process, or
  • Applicable legal requirements
6. Refunds

Refunds may occur only in limited circumstances, such as:

  • Mutual agreement between Client and Freelancer
  • Platform-determined resolution after mediation
  • Legal or regulatory obligations

Platform fees, payment processing fees, and other charges may be non-refundable, except where required by law.

7. Fees & Deductions

PickUrJob may deduct:

  • Freelancer service fees (currently 10%)
  • Client fees (if applicable)
  • Payment processing fees charged by third-party providers

Fees and applicable rates are disclosed on the Platform or in the Fees & Authorization Policy.

8. Authorization & User Instructions

By using the Platform, Users authorize PickUrJob to:

  • Initiate payment instructions to third-party payment service providers
  • Facilitate release, withholding, or refund of funds according to this Policy
  • Deduct applicable fees

Users acknowledge that payment actions taken through the Platform constitute binding instructions.

9. Currency & Exchange Rates

Payments may be processed in different currencies.

Users acknowledge that:

  • Exchange rates are determined by third-party payment service providers
  • Conversion fees may apply
  • PickUrJob does not control exchange rates
10. Taxes

Users are solely responsible for:

  • Determining applicable taxes
  • Reporting income
  • Paying any required taxes or duties

PickUrJob does not provide tax advice.

11. Payment Delays & Failures

PickUrJob is not responsible for delays or failures caused by:

  • Payment service providers
  • Banking networks
  • Compliance checks
  • Incorrect User information
12. Limitation of Liability

To the maximum extent permitted by law:

  • PickUrJob is not liable for payment provider errors
  • PickUrJob is not liable for indirect or consequential losses
  • PickUrJob’s total liability is limited as stated in the User Agreement

PickUrJob Service Contract Framework

This Service Contract Framework (“Framework”) sets out the default terms governing service engagements entered into directly between Clients and Freelancers on PickUrJob.

This Framework applies unless the Client and Freelancer expressly agree otherwise in writing.

PickUrJob, operated by BoffinGeeks, is not a party to any Service Contract.

1. Parties & Relationship

Each Service Contract is entered into solely between:

  • The Client, who requests services; and
  • The Freelancer, who provides services.
Independent Contractor Status
  • Freelancers act as independent contractors
  • Nothing creates an employment, partnership, agency, or joint venture relationship
  • Freelancers are not entitled to employee benefits, insurance, or protections from Clients or PickUrJob
2. Scope of Services

Each Service Contract must clearly define:

  • Description of services
  • Deliverables
  • Timeline
  • Pricing (fixed-price or hourly)
  • Any milestones, if applicable

Freelancers control the manner and means of performing services, subject to Client requirements agreed in the Service Contract.

3. Contract Types
3.1 Fixed-Price Contracts
  • Client and Freelancer agree on a total price
  • Client funds the amount upfront via the Platform
  • Payments are released in accordance with the Payments & Escrow Policy
  • Unless otherwise agreed, fixed-price contracts continue until completion or termination
3.2 Hourly Contracts
  • Services are billed based on an agreed hourly rate
  • Billing periods and approval mechanisms are defined on the Platform
  • Freelancers may bill only for actual time spent on Client work

PickUrJob does not require screen recording, tracking software, or surveillance tools unless explicitly introduced in the future.

3.3 Bonuses & Expenses
  • Clients may optionally offer bonuses or reimburse expenses
  • Such payments are subject to Platform rules and approvals
  • Bonuses and expenses do not modify the underlying Service Contract unless stated
4. Payments & Fees
  • Payments are processed through third-party payment service providers
  • PickUrJob facilitates payment release based on Platform rules
  • Platform fees may be deducted before Freelancer payouts

PickUrJob does not guarantee payment beyond the terms of the Service Contract and Platform policies.

5. Client Responsibilities

Clients agree to:

  • Provide clear and lawful requirements
  • Review submissions in good faith
  • Pay for completed work as agreed
  • Not request unlawful, unethical, or infringing work
6. Freelancer Responsibilities

Freelancers agree to:

  • Perform services professionally and competently
  • Deliver original work unless otherwise agreed
  • Comply with applicable laws and regulations
  • Not infringe third-party intellectual property
7. Intellectual Property Rights

Unless otherwise agreed in writing:

7.1 Ownership
  • Upon full payment, ownership of the agreed work product transfers to the Client
  • Ownership applies only to work actually paid for
7.2 Background Materials
  • Freelancers retain ownership of pre-existing tools, frameworks, or materials
  • Freelancers grant Clients a license to use such materials only as incorporated in the delivered work
7.3 Warranties

Freelancers represent that:

  • Work does not knowingly infringe third-party rights
  • They have the right to transfer ownership as stated
8. Confidentiality

If either party receives confidential information:

  • It must be used only for performing the Service Contract
  • It must not be disclosed without consent
  • Obligations survive contract termination
9. Revisions & Changes

Changes to scope, pricing, or timelines must be:

  • Mutually agreed
  • Reflected on the Platform or in writing

Unilateral changes are not binding.

10. Termination
10.1 Termination by Agreement

Clients and Freelancers may terminate by mutual agreement at any time.

10.2 Termination for Cause

Either party may terminate for material breach after reasonable notice.

10.3 Effect of Termination
  • Client pays for work completed up to termination
  • Released payments are final
  • Unreleased funds are handled per Platform policies
11. Disputes Between Users
  • Users should attempt direct resolution first
  • PickUrJob may offer platform-led mediation on a best-effort basis
  • Mediation is non-binding

12. Limitation of Liability (Between Users)

To the maximum extent permitted by law:

  • Neither party is liable for indirect or consequential damages
  • Liability is limited to amounts paid under the Service Contract

Unless otherwise required by law, Service Contracts are governed by the laws of India, without regard to conflict of law principles.

  • Is not responsible for Service Contract performance
  • Does not guarantee outcomes
  • Does not enforce Service Contracts

PickUrJob Fees & Authorization Policy

This Fees & Authorization Policy (“Policy”) explains the fees charged by PickUrJob, operated by BoffinGeeks (“PickUrJob”, “we”, “us”, or “our”), and the authorizations Users provide when using the Platform at https://www.pickurjob.com.

This Policy forms part of, and should be read together with, the PickUrJob User Agreement and the Payments & Escrow Policy.

1. Platform Fees Overview

PickUrJob charges fees for facilitating access to the Platform, payment processing, and related services.

Fees may apply to:

  • Freelancers
  • Clients
  • Optional services or features (if introduced later)

All applicable fees are disclosed on the Platform or in related policies before a transaction is completed.

2. Freelancer Service Fee
  • PickUrJob currently charges a Freelancer Service Fee of 10%
  • The fee is calculated on the total amount paid by the Client under a Service Contract
  • The fee is deducted before funds are released to the Freelancer

PickUrJob reserves the right to change the Freelancer Service Fee in the future with prior notice.

3. Client Fees

PickUrJob may charge Clients certain fees, such as:

  • Marketplace or platform usage fees
  • Contract-related fees
  • Other service-related charges

Client fee rates and structures are configurable and will be disclosed on the Platform when applicable.

No Client fee is charged unless clearly communicated before the Client confirms payment.

4. Payment Processing Fees

Third-party payment service providers may charge:

  • Payment processing fees
  • Currency conversion fees
  • Bank or transaction-related charges

Such fees may be:

  • Deducted from payments
  • Charged separately by the payment provider

PickUrJob does not control or set third-party payment provider fees.

5. Authorization to Deduct Fees

By using the Platform, Users authorize PickUrJob to:

  • Deduct applicable platform fees
  • Deduct payment processing fees where applicable
  • Initiate payment instructions to third-party payment service providers
  • Facilitate releases, refunds, or adjustments in accordance with Platform policies

This authorization is ongoing and applies to all transactions initiated through the Platform.

6. Non-Refundable Fees

Unless otherwise required by applicable law:

  • Platform fees are non-refundable
  • Payment processing fees are non-refundable
  • Fees remain payable even if a Service Contract is terminated after work has commenced
7. Fee Changes

PickUrJob may:

  • Modify existing fees
  • Introduce new fees
  • Change fee structures

Fee changes will be communicated through the Platform or via updated policies. Continued use of the Platform after changes constitutes acceptance.

8. Taxes

Users are solely responsible for:

  • Determining applicable taxes
  • Paying any taxes, duties, or levies
  • Reporting income earned through the Platform

PickUrJob does not provide tax advice and does not act as a tax withholding agent unless required by law.

9. Failed Payments & Reversals

PickUrJob is not responsible for:

  • Payment failures
  • Chargebacks
  • Reversals initiated by banks or payment providers

In such cases, PickUrJob may:

  • Suspend related Service Contracts
  • Withhold releases
  • Recover fees already paid, where permitted
10. Recordkeeping & Statements

Users may view transaction histories and fee deductions through their account dashboards, subject to availability.

Users are responsible for reviewing their records and reporting discrepancies promptly.

11. Limitation of Liability

To the maximum extent permitted by law:

  • PickUrJob is not liable for fee-related disputes between Users
  • PickUrJob is not liable for third-party payment provider actions
  • Liability limits are governed by the User Agreement

  • Facilitate Service Contracts between Users
  • Process payments through third-party payment service providers
  • Provide customer support

4. User Instructions
